Ghostcc - Terms Of Service

These Terms of Service are a binding contract between you (the "End User" or "You/Your"), the user of Ghost's site and Ghost Inc., a BVI Company ("Ghost"), executed electronically by You indicating your acceptance via a Ghost web site and as a precondition to Ghost providing services to You.

Ghost is providing valuable services at http://G.ho.st or http://Ghost.cc, or other domains or sub domains and related or partner sites, including services at no cost to the End User and services at low cost and at a considerable cost to Ghost. In return Ghost requires your acceptance of these terms and Ghost retains the right to modify these Terms of Service, at Ghost's sole discretion, from time to time without notice to You. Modified terms will be posted from time to time on the Ghost web site and you may only continue to use Ghost's services if you accept these Terms of Service, as updated. Furthermore, Ghost may offer services that are subject to different terms of service.

1. The Services

Ghost may provide services (the "Services") including, but not necessarily limited to:

Posting content created by Ghost and by third parties.
Hosting software-as-a-service type services where the software may be written by, owned by, hosted by and offered as a service by either Ghost or third parties.
Store user data and files.
Providing via Ghost's domain pass through content and services offered by third parties.
Visually embedding third party content or services in the Ghost "desktop"(which may be served via Ghost computers or directly from third-party computers).
Linking and referring to third party content or hosted services,and
Any other service which is provided from time to time by Ghost or via the Ghost web sites.

You hereby acknowledge that third party content, software-as-a-service or other Services which Ghost posts, hosts, passes-through, visually embeds or links to ("Third-Party Services") - will mostly be entirely out of Ghost's control even though it appears to be visually embedded in the Ghost site or other Ghost Services and in many cases may be provided without Ghost's knowledge or consent.

2. Your Representations & Obligations

You represent that You are of legal age to enter into this binding contract and to use the Services you choose to use, that the personal details you provided during registration are accurate, and that Your use of the Services is not in violation of any contract (including, but not limited to, an employment contract), statute or law.

You are solely responsible for safeguarding your password and other private information and for securing and backing up Your data. You are solely responsible for taking all reasonable measures to avoid being in breach of these Terms of Service. For example, you are responsible for verifying that data that you post is free of violations of copyrights and other laws and contracts, is accurate and is non-offensive.

You represent that Your use of Ghost Services is for Your own personal use (or in the case of a business service, is for the use of employees of the Company only) and not on behalf of any third party and not for any commercial purpose (except where the Service is explicitly offered by Ghost for a commercial purpose). In case a gree account is offered You represent that You will only create one such free account for your own personal use.

3. As-Is Service

Ghost provides its Services "as-is" and "as-available" and makes no warranty whatsoever as to the quality, availability or continuity of service (except for paid services if and when a warranty is explicity made).

Ghost may, amongst its other rights, and without prior notice:

Change or discontinue a Service. Take down its site temporarily or permanently. Discard or archive data. Disable a user account.
Monitor and analyze user's activities on the site
Sell content and information to others when it does not violate Ghost's Privacy Policy, copyrights or other laws, and change a Service from being free to being subscription-based or change the price or terms of a Service.
Impose general practice guidelines and limits on the use of a Service such as limiting the number of files, posts, e-mails and other content including the duration of availability.
Subcontract any or all of its data operations and other operations to third-parties from time to time and change suppliers at any time, whether with or without public disclosure.

Ghost is a commercial company and many of its Services are at no cost to End-Users. You therefore agree that Ghost may:

Post advertisements, sponsored content and links on its site in return for payment by third parties, including advertising which is targeted by an algorithm based on content or usage patterns of Your G.ho.st® account and partner services.
Earn a fee from third-parties for referring You to their site or to their products or services or when you choose to access their sites from within G.ho.st® e.g. from the G.ho.st® Browser (sometimes known as affiliate programs).
Do the above without specifically disclosing it each time.
Charge subscription fees for certain Services and update fees from time to time.

4. Member Conduct

You agree to conduct Your use of the Services and Your interactions with the Ghost site in a reasonable and appropriate manner. You specifically agree not to:

Post material which is incorrect or misleading.
Post material which is pornographic, obscene, defamatory or offensive to other users or that harasses other users.
Post material or act in a way which will cause a breach of copyright, trademark, patent or any other law in any jurisdiction or which causes a breach of contract or where Ghost's reasonable use of the material may cause Ghost to breach a law, statute or contract.
Cause a non-human entity including, but not limited to, web spiders, bots, indexers, robots, crawlers, harvesters, or any other computer programs designed to access, read, compile or gather content from the web site automatically to interact directly with the Ghost Services (other than a browser directly relaying human interaction) without explicit permission from Ghost.
Compile, harvest, gather, store, and/or distribute any email addresses appearing on Ghost or belonging to other users of Ghost Services or deliver email messages to such email addresses. You hereby acknowledge that each such email address has a value of not less than US $1,000 and that any prohibited action relating to the email addresses substantially diminishes their value and damages Ghost's reputation and business.
Use content, products or Services available from Ghost in a way which might breach Ghost's copyright or third party copyrights, or any laws or contracts (for example the fact that some media is available on Ghost's site does not necessarily mean that you have the right to copy it or to use it in other ways beyond the way in which Ghost is using it).
Create unnecessary loads on Ghost's computer systems including using storage, bandwidth or processing resources beyond those needed for your reasonable personal use of the Services.
Attempt to disable or circumvent any security measures, gain access to hardware, software or content in a way which is not intended (including any kind of "hacking" or copyright abuse) or help others to do so.
Impersonate a third party, present false credentials or obscure your real identity when your identity is requested.
Interact with Ghost Services in any way that is not reasonable or not in line with their intended use.

You confirm and acknowledge that you have read and agree to be bound by and not violate Ghost's Privacy Policy, as updated from time to time, and to be bound by and not violate any of the rules, guidelines, instructions or terms of service which might accompany specific aspects of the Services provided by Ghost or by third parties.

You acknowledge, consent and agree that Ghost may access, preserve, and disclose content and information included in Your account if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce these Terms of Service; (c) respond to claims of infringement of the rights of third-parties; (d) respond to your requests for customer service; or (e) protect the rights, property, or personal safety of Ghost, its other users and the public.

	5. Authentication
You are responsible for choosing a secure username and password (and secure secret questions or other security settings if provided), and for safeguarding these from disclosure. Ghost shall be entitled to assume that anyone presenting Your secret credentials is You and may present to them Your private information, accept from them instructions on Your behalf, etc.

6. Third-Party Services

Much third party content, products and services (including software-as-a-service) are either hosted by Ghost, pass through Ghost computers, are linked to by Ghost or are in some way visually embedded in Ghost Services. Despite any superficial connection (e.../MainPage/ visual sharing of your browser screen or sharing of URLs) between the Ghost Services and the third-party services, these are entirely separate and third-party services are entirely governed by Your relationship with the third parties and by their own terms of services and privacy policy. Ghost accepts no responsibility whatsoever for third-party services, whether Ghost has a commercial relationship with those third parties or not. You commit to Ghost not to abuse any of the third-party services or their terms of use and privacy policies as this is damaging to Ghost's reputation and business relationships. Ghost makes no commitment to you with respect to third party services.
Please report third parties who do not provide a good service (or especially third parties who are in breach of laws or contracts or cause offence) to Ghost at but please be aware that Ghost does not necessarily have any control or even any knowledge of which third parties provide services over the Ghost desktop.

7. Indemnification

You hereby undertake to indemnify and hold Ghost and its subsidiaries, affiliates, officers, agents, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Ghost Services, your breach of any law or contract or other person's or entity's rights or your violation of these Terms of Service.

8. Grant of License

You hereby grant Ghost an irrevocable, indefinite, world-wide, fully paid, royalty-free license to reproduce, copy, backup, publish, distribute and use any material that you post to public areas of Ghost. Your personal data is governed by Ghost's Privacy Policy and you hereby grant Ghost an irrevocable, indefinite, world-wide, fully paid, royalty-free license to copy, process and transmit your data for the sole purpose of providing services to you and for permitted use of the data (such as using your preferences to customize Ghost and third-party services and for gathering general statistics which do not in any way compromise your individual privacy) all subject to Ghost's Privacy Policy

	9. No Resale
Ghost Services are for personal use except where explicitly stated otherwise. You agree not to resell, distribute or otherwise commercially exploit any Ghost product, content or Service without Ghost's explicit agreement.

10. Disclaimer of Warranties

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

YOUR USE OF THE GHOST SERVICES IS SOLELY AT YOUR OWN DISCRETION AND RISK. THE SERVICES, AND ALL MATERIALS, INFORMATION AND PRODUCTS INCLUDED IN THE SERVICES, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. GHOST AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS EXPRESSLY DISCLAIM TO THE FULLEST EXTENT PERMITTED BY LAW ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

GHOST AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS MAKE NO WARRANTY THAT (i) THE SERVICES WILL MEET YOUR REQUIREMENTS; (ii) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE, COMPLETE OR RELIABLE; (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS; AND (v) ANY ERRORS IN THE SOFTWARE, CONTENT OR SERVICES WILL BE CORRECTED.

GHOST AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS DISCLAIM ANY WARRANTIES FOR SERVICES OR PRODUCTS RECEIVED THROUGH OR ADVERTISED ON GHOST OR RECEIVED THROUGH ANY LINKS PROVIDED BY GHOST SERVICES, AS WELL AS FOR ANY ADVICE RECEIVED THROUGH ANY LINKS OR EMBEDDED WEB SITES PROVIDED WITH THE SERVICES.

GHOST MAKES NO WARRANTY THAT ITS PROGRAMS OR CONTENT COULD NOT BE HARMFUL TO YOUR COMPUTER OR OTHER SYSTEMS AND YOU REMAIN SOLELY RESPONSIBLE FOR THE SECURITY AND BACKUP OF YOUR OWN SYSTEMS AND DATA. GHOST DISCLAIMS ANY RESPONSIBILITY FOR THE DELETION, FAILURE TO STORE, MISDELIVERY, OR UNTIMELY DELIVERY OF ANY SERVICE.

IF YOU HAVE AN EPILEPTIC OR OTHER CONDITION WHICH MAY BE TRIGGERED OR EXASPERATED BY COMPUTER SCREENS OR BY CERTAIN PATTERNS OF LIGHT OR SOUND, THEN CONSULT YOUR DOCTOR BEFORE USING GHOST SERVICES. IF YOU EXPERIENCE ANY DISCOMFORT OR NEGATIVE SYMPTOMS AFTER USE OF THE SERVICE, THEN DISCONTINUE USE IMMEDIATE AND CONSULT A DOCTOR.

11. LIMITATION OF LIABILITY

YOU EXPRESSLY UNDERSTAND AND AGREE THAT GHOST AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT, UNDER ANY CIRCUMSTANCES, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES, WHETHER SUCH CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF GHOST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM, AMONG OTHER THINGS, YOUR USE OF THE SERVICES, INABILITY TO USE THE SERVICES, CHANGES IN THE SERVICES, LOSS OF DATA, USE OF CONTENT SERVICES OR PRODUCTS OBTAINED VIA THE GHOST SERVICES, UNAUTHORIZED USE OF YOUR DATA, DEALINGS WITH ADVERTISERS OR ANY CONDUCT BY A THIRD PARTY.

WITHOUT LIMITING THE FOREGOING, UNDER NO CIRCUMSTANCES SHALL GHOST OR ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS BE HELD LIABLE FOR ANY DELAY OR FAILURE IN PERFORMANCE RESULTING DIRECTLY OR INDIRECTLY FROM ACTS OF NATURE, FORCES, OR CAUSES BEYOND ITS REASONABLE CONTROL AND GENERALLY CHARACTERIZED AS "FORCE MAJEURE," INCLUDING, FOR THESE PURPOSES, WITHOUT LIMITATION, INTERNET FAILURES, COMPUTER EQUIPMENT FAILURES, TELECOMMUNICATION EQUIPMENT FAILURES, OTHER EQUIPMENT FAILURES, OR ELECTRICAL POWER FAILURES.

	12. EXCLUSIONS AND LIMITATIONS
IF THE PERTINENT JURISDICTION DOES NOT ALLOW SOME OF THE ABOVE DISCLAIMERS OF WARRANTIES OR LIMITATIONS OF LIABILITIES, THEN THOSE SPECIFIC PROVISIONS ABOVE WILL NOT APPLY TO YOU BUT YOU AGREE THAT THE TERMS ABOVE WILL STILL APPLY TO THE GREATEST EXTENT COMPATIBLE WITH APPLICABLE LAW.

"Ghost" and "../MainPage/ho.st" are trademarks or registered trademarks of Ghost. Other trademarks of Ghost or of third parties are displayed as part of Ghost Services from time-to-time. We make no claim to the trademarks of such third parties. No license of any sort is implied and you may not use these trademarks without prior written permission.

15. Usage by Children and children on-line Privacy Protection

Ghost does not offer services to children under the age of 13 and superversion is strongly recommended for older children because Ghost may be easily used as a gateway to accessing third party services and content which may be inappropriate for youth and which are not in Ghost's control. You agree that you are responsible for supervising any minors for whom you are legally or otherwise responsible (whether as a parent or guardian) to ensure that they do not use Ghost or, if over 13, that they do not use Ghost inappropriately.

16. E-mail

Your registration for and/or use of Ghost Services establishes a relationship with Ghost for purposes of applicable laws that address unsolicited commercial communications. By providing Ghost with your email address you have chosen to opt in. You must confirm your subscription via email this is known as double opt in firmed opt in. Confirmed opt in validates that your email address is truly permission based. By performing a confirmed opting-in and registering for and/or using, or continuing to use, Ghost Services, You agree that Ghost or our agents, affiliates and third parties may call, e-mail or otherwise communicate with You regarding commercial offers, including delivery of advertisements, or relating to the Services, including, but not limited to, administrative issues and notices concerning new third-parties and services.

If Ghost chooses to provide an e-mail hosting service from time to time ("G.ho.st® Mail"), this like all G.ho.st® Services is provided "As Is" as described above. Without detracting from Ghost's right to provide G.ho.st® Mail if and as it so chooses from time to time, Ghost wishes to advise you that it is likely to adopt the following policies: (a) Messages deemed as Spam will reside in the Spam box for 14 days and will then be purged. (b) Messages in the Trash box will be purged after 30 days. (c) All data in an unused mail box i.e. with no logins to the Ghost portal/desktop for more than three (3) months shall be deleted and the mail box may be closed.

UNAUTHORIZED USE OF GHOST SERVICES IN CONNECTION WITH THE TRANSMISSION OF UNSOLICITED BULK E-MAIL, INCLUDING THE TRANSMISSION OF COUNTERFEIT E-MAIL, MAY RESULT IN CIVIL AND CRIMINAL PENALTIES AGAINST THE SENDER. CIVIL AND CRIMINAL PENALTIES MAY ALSO APPLY TO E-MAIL TRANSMITTED TO GHOST OR USING GHOST?S SERVICES IN VIOLATION OF THE CAN-SPAM ACT OF 2003.

17. General

These Terms of Service, as updated from time to time, constitute the entire agreement between You and Ghost and supersede any prior agreement with respect to these matters.

These Terms of Service and the relationship between Ghost and You shall be governed by the laws of the UK without regard to its conflict of law provisions. You and Ghost agree to submit to the exclusive jurisdiction of the courts located in London, England.

The failure of Ghost to exercise or enforce any right or provision set forth herein shall not constitute a waiver of such right or provision. If any provision is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and that the other provisions shall remain in full force and effect.

Your rights are not transferable and terminate upon the earlier to occur of (i) your death, and (ii) in the case of a paid service your rights may be terminated by Ghost if your payments are more than 14 days in arrears, or in the case of a free service your rights may be terminated by Ghost if you do not login to the Ghost web site for a 3 months period(each a "Termination Event"). Ghost may (but shall not be obliged to) close your account and delete your data upon any such Termination Event. Ghost may transfer its rights herein to an affiliate company with at least 51% common beneficial ownership or to any successor to substantially all of its business.

Please report any violation of these rules to
